This EULA applies to AIAEC’s software products, platforms, applications, tools, and related services, including ChatAEC, INOS, and QPoint (collectively, the “Products” and, together with any related websites, software, features, functionality, content, and services provided by AIAEC, the “Services”). References in this EULA to a “Product” mean any individual AIAEC product covered by this EULA, and references to the “Services” mean the Products and all related services and functionality provided by AIAEC.
PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY. BY CLICKING "ACCEPT", YOU (REFERRED TO HEREIN AS "YOU" OR "CUSTOMER") AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.
This Agreement is a binding legal document between Customer, an individual or entity, and AIAEC LLC together with any of its affiliates and/or subsidiaries (collectively "Vendor", "we", "our", or "us").

This Agreement is effective as of the date you click "accept" (the "Effective Date"). Customer and Vendor may be referred to individually as a "Party" and collectively as the "Parties."
This End-User License Agreement ("EULA") governs your use of the Products. By accessing or using the Products, you agree to be bound by this EULA, the AIAEC Terms of Use, and the AIAEC Privacy Policy, all of which are incorporated by reference and which may also be found here Terms of Service and Privacy Policy. The Terms of Use govern, without limitation, dispute resolution procedures, class action waivers, governing law, warranty disclaimers, intellectual property provisions, and limitations of liability. All User Content provisions, User Content licensing, content restrictions, moral-rights waivers, prohibited uses, Third-Party Service terms, security disclaimers, and availability provisions in the Terms of Use apply to your use of the Products. In the event of a conflict between this EULA and the Terms of Use, this EULA controls solely with respect to your use of the Products.
Your use of the Products is also subject to the AIAEC Privacy Policy, which describes how AIAEC collects, processes, uses, stores, and discloses information, including Input, usage data, metadata, and technical logs. By using the Products, you consent to all data practices described in the Privacy Policy. You further consent to AIAEC's use of subprocessors and third-party service providers to facilitate the Products.
AIAEC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Products solely in accordance with this EULA and the AIAEC Terms of Use. This license does not include any rights to access underlying source code, models, training data, system architecture, or proprietary components. Commercial resale, sublicensing, redistribution, or training of AI models using the Products or any Outputs is strictly prohibited unless authorized in a separate signed agreement with AIAEC.
You represent and warrant that you have legal capacity to enter into this EULA, will comply with all applicable laws, and will maintain accurate account information. You are responsible for securing your credentials and all activity conducted under your account. AIAEC is not liable for unauthorized access unless caused solely by AIAEC's gross negligence.
You shall not, and shall not permit any third party to:
(a) reverse engineer, decompile, extract, or attempt to derive source code, model weights, data, or algorithms;
(b) use the Products to develop, train, or improve machine learning or AI systems, including competitive products;
(c) access, scrape, query, or extract data using automated tools, bots, crawlers, or scripts;
(d) bypass rate limits, technical controls, or authentication mechanisms;
(e) upload or transmit malicious code, malware, or disruptive scripts;
(f) generate, upload, or distribute unlawful, harmful, infringing, defamatory, abusive, or otherwise prohibited content; or
(g) use the Products in a manner that degrades system performance or imposes unreasonable burdens on AIAEC infrastructure.
Any violation of this Section constitutes material breach and grounds for immediate termination. The prohibited uses set forth in the Terms of Use also apply to your use of the Products.
The Products operate using third-party technology, including APIs, hosting platforms, vector databases, and machine-learning models supplied by OpenAI and others. Your use of the Products is subject to such third-party terms. AIAEC does not control, guarantee, or warrant the availability, behavior, accuracy, or output of third-party systems. AIAEC may immediately suspend or modify access as required by any third-party provider.
AIAEC and its licensors retain all legal and beneficial rights in the Products, including software, models, architecture, design, documentation, workflows, data structures, improvements, and derivatives. Except for the limited license explicitly granted herein, no rights are granted to you. All rights are reserved by AIAEC.
(a) Input. You represent and warrant that all data, prompts, content, or materials you submit ("Input") do not violate law or third-party rights. You grant AIAEC a worldwide, royalty-free license to process, store, reproduce, and use Input as necessary to operate, secure, maintain, or improve the Products. All Input constitutes "User Content" under the Terms of Use, and the Terms of Use User Content license, moral rights waiver, and non-confidentiality rules all apply.
(b) Output. The Products may generate content ("Output"), which may be inaccurate, incomplete, fabricated, or unreliable. Output may be derived from or reflect municipal, governmental, and other third-party records that may be incomplete, outdated, inaccurate, inconsistent, or unavailable, and may omit applicable zoning, land-use, permitting, title, development, or other restrictions, conditions, requirements, or changes. You must independently verify Output against current official records and with the applicable governmental authorities and qualified professionals before relying on, using, communicating, or permitting any person to rely on it in connection with any decision, transaction, application, project, submission, report, or professional service. Output may be similar or identical to Output generated for other users; no exclusivity attaches.
(c) No Rights in Output. You acknowledge that AIAEC retains rights to all model functionality generating Output and that you obtain no ownership or exclusive rights in any Output.
AIAEC implements commercially reasonable measures but does not guarantee the security of transmissions or stored data. You are solely responsible for securing your devices, credentials, and backups. AIAEC is not liable for unauthorized access, data loss, or disclosure except to the extent caused directly by AIAEC's gross negligence or willful misconduct. Security disclaimers in the Terms of Use apply fully to the Products.
Output is generated by artificial intelligence and is for informational purposes only. Output is not an official record, zoning verification, permitting determination, land-use opinion, title report, survey, certification, or representation of any governmental authority. It does not constitute legal, financial, compliance, engineering, or professional advice. You are solely responsible for determining the appropriateness and accuracy of Output for your use case and for obtaining all official records, determinations, approvals, and professional advice required for any decision, transaction, application, or project.
Without limiting Section 3, Output is provided solely to you under this EULA and is not prepared, supplied, or intended by AIAEC for the benefit or guidance of any third party or for use or reliance by any third party in any business transaction. Unless AIAEC expressly agrees in a separate signed writing that identifies the third-party recipient and transaction, AIAEC does not intend or undertake that Output will influence any decision or transaction of any client, investor, lender, buyer, seller, owner, tenant, permit applicant, governmental authority, design professional, contractor, consultant, or other person. AIAEC's technical receipt or processing of Input that identifies or describes a third party, property, project, transaction, application, or intended use does not constitute such an agreement or undertaking. To the maximum extent permitted by law, AIAEC disclaims any duty of care to each such person, and no such person is a third-party beneficiary of this EULA.
If and to the extent you are permitted to disclose Output, any disclosure, distribution, incorporation, summary, or other communication of Output or information derived from Output to a third party is made solely by you, at your own risk and on your own responsibility, and does not constitute a communication, certification, representation, warranty, or undertaking by AIAEC to that third party. Before making any such communication, you must independently verify the relevant information and conspicuously notify the recipient in writing that: (a) the information was generated or derived using an AI-enabled service; (b) it may be inaccurate, incomplete, outdated, or omit applicable restrictions or requirements; (c) it is not an official governmental record, determination, certification, or professional advice; and (d) the recipient must not rely on it without independent verification from the applicable governmental authority and qualified professionals.
You shall not state or imply that AIAEC verified, certified, endorsed, or prepared Output for any third party or authorized any third party to rely on it. Where you provide Output in a report, deliverable, application, or other business communication under a contract with a third party, you must ensure that the contract includes an express disclaimer that AIAEC did not prepare the Output for the third party's benefit or guidance, owes the third party no duty, and is not liable for the third party's use of or reliance on the Output. To the fullest extent permitted by law, you assume sole responsibility for all decisions, transactions, applications, submissions, reports, services, and communications in which you use or provide Output, including all claims arising from any third party's receipt, use, or reliance.
AIAEC may modify, update, suspend, restrict, or terminate any Product at any time for any reason, including compliance requirements, technical limitations, third-party provider restrictions, or security concerns. AIAEC may suspend or terminate your access for violations of this EULA or the Terms of Use. Upon termination, all rights granted to you cease immediately.
You agree to defend, indemnify, and hold harmless AIAEC, its officers, affiliates, licensors, employees, contractors, and service providers from all claims, damages, liabilities, losses, and expenses (including attorneys' fees) arising out of or related to: (a) your use of the Products; (b) your Input or handling, disclosure, distribution, communication, or use of Output, including any decision, transaction, application, submission, report, professional service, or third-party reliance involving Output; (c) your breach of this EULA, the Terms of Use, or applicable laws; or (d) your infringement of third-party rights.
THE PRODUCTS IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." AIAEC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY. AIAEC DOES NOT WARRANT THAT OUTPUT WILL BE CORRECT OR SAFE OR THAT THE PRODUCTS WILL BE UNINTERRUPTED OR ERROR-FREE. WITHOUT LIMITING THE FOREGOING, AIAEC DOES NOT REPRESENT OR WARRANT THAT OUTPUT ACCURATELY OR COMPLETELY IDENTIFIES ANY ZONING, LAND-USE, PERMITTING, TITLE, DEVELOPMENT, OR OTHER RESTRICTION, CONDITION, REQUIREMENT, RECORD, OR CHANGE, OR THAT ANY MUNICIPAL, GOVERNMENTAL, OR THIRD-PARTY SOURCE IS COMPLETE, CURRENT, CONSISTENT, OR ERROR-FREE. AIAEC MAKES NO REPRESENTATION OR UNDERTAKING TO ANY THIRD PARTY AND DOES NOT AUTHORIZE OR INVITE THIRD-PARTY RELIANCE ON OUTPUT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
THE LIMITATIONS IN THIS SECTION APPLY TO ALL CLAIMS ARISING OUT OF OR RELATING TO THE PRODUCTS OR OUTPUT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE AND NEGLIGENT MISREPRESENTATION), STRICT LIABILITY, STATUTE, OR OTHERWISE, AND WHETHER ASSERTED BY YOU OR BY ANY PERSON CLAIMING THROUGH YOU OR BASED ON YOUR USE, DISCLOSURE, OR COMMUNICATION OF OUTPUT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIAEC SHALL HAVE NO LIABILITY TO ANY THIRD PARTY THAT RECEIVES, USES, OR RELIES ON OUTPUT OR INFORMATION DERIVED FROM OUTPUT.
(a) AIAEC SHALL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
(b) AIAEC'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT PAID BY YOU IN THE PRECEDING 12 MONTHS, OR (b) TEN DOLLARS ($10 USD). THE FOREGOING CAP APPLIES IN THE AGGREGATE TO ALL CLAIMS AND TO CLAIMS ASSERTED DIRECTLY OR BY ASSIGNMENT, CONTRIBUTION, INDEMNITY, SUBROGATION, OR OTHERWISE.
This EULA is governed by Arizona law. All disputes are subject to the dispute resolution procedures, including informal resolution, venue, governing law, and class action waiver set forth in the AIAEC Terms of Use.
The provisions relating to ownership, Input/Output rights, third-party use and reliance, prohibited uses, indemnification, disclaimers, and limitations of liability shall survive termination.
This EULA constitutes the entire agreement regarding your use of the Products. If any provision is found unenforceable, the remainder remains effective. You may not assign this EULA without AIAEC's express written consent. AIAEC may assign freely. No waiver is effective unless in writing.
